That sounds like a stretch. The OXGN BOD had no fiduciary duty to the owners of VXGN. It was the VXGN board that was supposed to be looking out for the interests of the owners.

This is the perfect example of why the SEC proposal to allow shareholders access to the proxy is critical to the success of US business. Managers too often look out for their own interests at the expense of the owners. The playing field is tilted too far in the direction of management. It is time it swings in the other direction. The country and our businesses will be stronger because of it.
