On the presentation, Sylvia gave specifics on how many shares were used to buy NXP Home BU.

98 million shares + 6.7 million shares for a total of 104.7.

The 6.7 shares are being purchased at $4.50 apiece for a total of $30 million.

NXP owns 104.7m shares = 60%
TRID owns 70m shares = 40%

Old Trident = 125m to 135m in annual revenues.
New TRID/NXP = 550m to 640m in annual revenues.

Sylvia estimates that TRID paid $160 million for the NXP Home BU. At the time, the value of the 104.7m shares comes to about $245 million. Subtract the $45 million in cash NXP is giving TRID and also substract the $40m in inventory and you arrive at her $160 million which is about 1/3 of the annual revenues which NXP's Home BU will be contributing.

The new company will be 60% TV and 40% Set Top Box in which it is #3 worldwide with a #1 ranking in satellite STBs.

The total addressable market for old trid (100% TV) was $1.5 billion. The new TAM will be $4 billion. Patents will go from 500 to 2000.
