The 8-K announcing the Klein/Rosenthal appointments (see below) was filed 4 days before their other company (Skins, SKNN) filed a Chapter 7. How convenient!! If they had waited 5 more days to file the Organic Alliance 8-K I am sure they would have had to report their association with this Chapter 7 which was IN MY OPINION an egregious stock promotion.

On August 10th the Company announced the addition of two new board members.

Mike Rosenthal, age 65, has served since 1986 as Chairman and President of M.J.Rosenthal and Associates, Inc., and investment and consulting firm. Mr. Rosenthal has been Chairman of Skins, Inc., since 2005, and Chairman and CEO of Bill Blass New York, a high-end manufacturer of men's and women's clothing, from January 2006 through November 2007, and Chairman through November 2008. From 1984 to 1986, Mr Rosenthal served as a partner and a Managing Director of Wesray Capital Corp, an investment company, and prior to that was Senior Vice President and Managing Director of Mergers and Acquisitions Department of Donaldson, Lufkin, and Jenrette, Inc., an investment banking firm. Mr. Rosenthal has also served as Chairman, a director or Chief Operating Officer to a number of other companies including Wilson Sporting Goods, Northwestern Steel & Wire Company, Western Auto supply Company and Star Corrugated Box Company, Inc.

Mark Klein, age 35, began working on the business concept behind the predecessor of Skins Footwear Inc. in 2002 and was appointed President and Chief Executive Officer of Skins Footwear Inc. on May 18, 2004. He has served in this capacity of President and CEO of both Skins Inc. (SKNN) and Skins Footwear inc. from 2004 to Present. From 2001, Mr. Klein served as the Sales Director for ICQ Mobile, the mobile instant messaging division of AOL Time Warner. From 1999 to 2001, he was a senior marketing and sales executive for both Comverse Network Systems (CMVT) and Oraios. com, where he directed, created and implemented sales and marketing initiatives.

Each of Messers Rosenthal and Klein received 350,000 shares of the Company's common stock upon appointment to the Board and will receive an additional 650,000 shares each at such time as the Company raises at least $1,000,000 in equity funds. They will also receive a fee of 8.5% of any funds raised by them in equity offerings of the Company.

Good advice and bankruptcy has no effect on your ability to deduct the loss. Selling now will lock it in and (likely) get the most money back to you. It's unlikely the stock will be deemed worthless for a while, so not selling means you may not be able to take the loss this year at all.

My only advice would be next investment, especially if it's only small and one stock is to stay away from anything not on the NYSE, AMEX or NASDAQ and even better buy either an ETF (fund of stocks traded like a regular stock) or a mutual fund. If you're looking to just "get rich quick", buy lots of lottery tickets as the odds are better (though admittedly, you don't get to deduct your losses).

If you sell this crap this year you'll be able to show it as a loss for this year. The price NOW is probably as good as it gets, being that "TRASH KLEIN" and his boat load of idiots ran it into the ground, so SELL it all now! You can only take a $3,000 loss per year (carrying over another $3,000 in each following year until you've taken it all) unless, you have a gain on a sold stock to offset the SKNN loss, then you take the loss to the amount of the gain. Dont let this one stock loss sour you, there are a lot of companies out there that are great and that arent headed by people that have bitten off way more than they could chew. GOOD LUCK, CORP

YES - if they work out a plan agreeable to creditors, absolutely the Ch 7 filing can be retracted.

Interesting and novel idea - file Ch 7 then buyback for the cheap - "work out" a plan at the 11 th hour and 59th second, RETRACT Ch 7 filing, and we're off again ... of course the share price would bolt up --- who makes the big bucks on this one?

Next Ch 7 filing - SKNN down for the count.

Guys, I am sorry to say, but I have been warning all of you for a while (see my posts).....because I knew all of it. I knew the guy - MK - I gave him some money at the very beginning.

I knew him and as soon as I realized the scumbag he was I pulled out (and unfortunately I left some $$ behind anyway).

MK is and always will be a failure. He played with all of your money - mine too - by pretending to sell something that HE knew wasn't abe to deliver. Last time I saw him he said to me "I have to keep this thing alive as long as it takes for me to get a job somewhere else".

You guys have no idea the money this guy has wasted "inappropriately" for his personal use or for stupid EXPENSIVE mistakes he made because of his arrogance and inexperience ( family airline tkt to Israel, stuff for his apartment, for his vacations, for his wardrobe, a nice car full of optional etc etc.

For those that were making fun of me by writing that I didn't understand the "potential" of skins....I know many of you,I know your names, friends of MK....I know you guys... in California or UK....ARE YOU HAPPY ? I am sure you havent been able to get out soon enough to get those options vested - and that makes me very happy - did you see that having brought down with you hundreds of other people didn't save your money (or didn't pay your bills for all the work you did for Skins).

MK is the best bull@#$%er: For 8 years all the people around him told him the idea was right but he didn't have the skills to manage this company. But he thought to be better than the others....and once he realized ..he decided to stretch this "adventure" as much as possible to personally benefit from it.

Good night & good luck

Check out that link. He was in charge of Mage LLC that Mark was in bed with at the start of the company. Millions were made from warrants excercised by Mage and the people in bed with Mark.

I also found this odd sentence in their 2006 10k - filed in April of 2007:

"On October 20, 2005, The Company issued 1,376,308 common stock shares (adjusted per recapitalization, see Note 1) to Mage Capital Partners, LLC for services provided that totaled $6.00, which were valued based on fair value of the common stock shares issued for $0.80 per share."

Seems like Mark was working with Stephen to cyphen off shares of the company, sell on the open market, and then do who knows what with the cash. Must have a Swiss Bank account somewhere.

Bunch of slimes....

I know for a fact that this was not a scam. This was MK's dream years before he started Skins. I know because I saw him at my apartment with a 100 page notebook filled with ideas and business plans for this company over 8 years ago.

Hey, i invested too. I lost. So be it.

I agree with moving on as I hold many more positions. I'll match this loss with a profit in no time. I just want Mr. Arsehole to have so much mail at home he cant even find his electric bill. I do appreciate the posting of the phone numbers, these are corporate however and I want to take it to a personal level by taking it to his abode. Previously being a corporate VP and being on a BOD, I know its way too easy to not answer the phone and not go to the office. Its a lot harder to get away from it if I take it to the house. I'll be browsing through SEC papers and government information available through the Freedom Of Information Act. It could take me a little while but patience is a virtue :). CORP

I have owned this stock for a long time and sadly this is my first post. I sold half yesterday. Is there anybody out there who has any idea who would possibly be buying the stock of a company in chapter 7???? I can't understand this at all. Why didn't it go to zero?? Right now 1.6 million shares have sold to somebody. Is this yet another manipulation?? Can they rescind their bankruptcy filing?

Its amazing that you can even put MK in the same category as Madoff who deliberatly stole money from people and profited on it and to have such hostility to "dance at his funeral"
Whats wrong with you people.

You took a chance on this stock, which had a good idea and unfortunately didnt have enough capital to get it going.

Whether or not MK was the best CEO or not, I dont see what the fraud was exactly. What did he do that any other CEO doesnt do?? He believed in his stock, and I dont think that he sold any of his shares, at least not at any profit to himself.

Its amazing the crowd mentality that exists on these boards. I lost money on this stock as well but could have just as easily made money on it or another stock like it.

Dont get all crazy because you made a bet(which all penny stocks are btw)and lost. It seems a complete lack of character to get so disgustingly malicious with these statements.

With that kind of emotion people shouldnt speculate on any stock at all, people you will only lose money.

You want a sure thing, put your money in the bank, you want to make money in the market you make an educated decision and get out if you are wrong.

This is what they filed in court documents.

SEC filings show much less than $10 million. If the court documents are true, then they failed to properly disclose everything in the SEC filings. That is something the people are responsible for - aka M. Klein - when they sign off on the 10k's and 10q's.

I wonder if we'll ever know the real story....

" I'd much rather you see you channel your anger into something productive, like stopping it from happening elsewhere."

Not anger I was posting. I only had about $22,000 in SKINS which I can afford to lose on a speculative gamble, but I don't like be outright lied to, and if I ever meet him in person, and I will be looking for him, only one will walk away. I hate liars, cheats, pumpers, and consider him to be right alongside Maddoff, and irrigardless of your thoughts and analysis I think he deliberately mislead, lied, passed false info, hid info, broke promises, and is a fraud. All the above is based on his actions, not on the inability of his company not to perform. He can rot in hell as far as I am concerned and I will dance at his funeral.

Sorry, he'll demonstrate that the web page was there as described (I saw it, I'm sure you did too). He said they were "working hard on the next version". Again, I'm sure they were, then they ran out of money. "Proud of the line","Getting good responses". Those are "feel good" statements, they'll never be proven to be lies.

He said he would send out a monthly newsletter and didn't. I don't think the SEC is going to see that as fraud. Hints, suggestions, "we hope", "we think", "we're working on", these don't rise to fraud.

Don't let me discourage you from going for it. I'd love to see these guys made an example of and I'd love to see those who "promoted" the stock on the MB (some of whom no doubt profited from those posts) held to account. I just don't see it happening and I'd much rather you see you channel your anger into something productive, like stopping it from happening elsewhere.

Good luck.
