Conway as a member of the ROCM Compensation Committee exerts significant influence over the strike price of options. By setting a low strike price it enables himself and other senior management members to exercise these options (given out in tens of thousands of shares to ROCM management annually) and sell at a large profit even though stock price is low. They profit while doing nothing to enhance shareholder value.

What the hell is the ROCM board of directors doing to inspire ROCM management to generate shareholder value? Who sets the pay for the board of directors? Is it the ROCM Compensation Committee (remember Conway is on this committee)? Seems like there is a conflict of interests.

Conway's selling of stock in September has a lag time before being made public. As CEO, it does not bode well for future earnings/stock price for ROCM. Mutual funds/Institutional investors often do their tax loss selling in the fall, so with Conway's poor performance, stock sale, and declining stock price value it is conceivable the recent stock decline has been the result of these actions.
