Dear Mr. Black,

Glad to have you aboard. I have been buying your company for a buck. I wonder why I don’t see others, particularly insiders, interested as well.

A buck? Well, I say a buck, because from the way I figure it, the company’s operations have been selling for $1-2/share intermittently, for some time. How do I figure? Speaking broadly, there is approximately $10 cash/share, your building is another 50 cents/share, or $10.50 of pretty liquid assets. If you earn 10 cents EPS/quarter from operations or even with interest income, there should be another 50 cents EPS for 2009, giving roughly $11 cash/share for this year. I think Rimage might be the cheapest stock in Minnesota, at is virtually trades at cash value while generating meaningful earnings, and with a relatively steady consumables business.

Why is it that none of the insiders show any interest in the stock? I drool when I see your stock in the $11/share range. Am I missing something? Certainly, as an individual investor I don’t face the oversight and limits that insiders face, but it striking to me to see zero interest by insiders. It raises questions. I may be really missing something, but it seems to be something else, and it suggests it is time for a change. Management and the board seem to realize this as well, as they bring you aboard. It also seems to speak volumes for why more needs to be done.

This Company holds dominating market-share positions, and throws off mountains of cash. Members of management and the board are obviously very competent, talented people. But, to use a phrase floating around the market now, where are the animal spirits of this Company? Where is the hunger to invest and buy an opportunity, such as when your stock seems to be trading at ridiculous prices? Perhaps there are reasons, such a quiet period that blocks insider trading, etc. We know the litany of legitimate reasons to discourage insider buying. And token insider stock purchases are only that, token. But it is hard to imagine that if you are a Rimage insider and presumably see the Company’s future, doesn’t this stock price seem like about the best investment you could make? Where else can you buy a company like this for a buck?

This probably also speaks to the limits of stock options. What’s the point of stock options when insiders are not even tempted to buy in the open market? There doesn’t seem to be much of a sense that insiders are willing to put up real dollars, real skin in the game, when the Company is trading at a signficant discount, why should we think stock options are any more of a motivation, and why should this then be provided with the Company's money?

It is all the more painful when I see “retainers” for almost $50,000 going to board members, on top of their stock options, and to not even see this relatively gifted money used to plow back into the Company. You have some talented, entrepreneurial board members who have demonstrated their willingness to take bold risks with their institutions, but they don’t even seem to want to spare even their gifted dollars at these values.

I am not pushing for insider buying. But I do wonder what is the investment and business judgment of insiders when they presumably can see the opportunities of the Company and yet aren’t even willing to risk a buck to buy the Company. This seems to be where you come in. I have great respect for this management team. And it gives me great pause when I am not following their lead and replicating their actions, and I wonder what I am missing. I hope you can capitalize on this talented business enterprise and people, and provide a seeming needed transformation. For what’s it worth, I have faith (especially at these prices), and have been buying your Company for a buck!
