Mr. Skoglund will cease to be the Principal Accounting Officer of Rackable Systems as of May 14, 2009.

Appointment of Principal Accounting Officer 
On May 14, 2009 the Board of Directors of Rackable Systems appointed Tim Pebworth as Rackable System's Vice President, Corporate Controller and Chief Accounting Officer. 

Tim Pebworth, 43, joined Rackable Systems on May 9, 2009. Prior to joining Rackable Systems, Mr. Pebworth was the Vice President, Corporate Controller and Chief Accounting Officer for Silicon Graphics, Incorporated from May 2008 to May 2009. Mr. Pebworth served as the Chief Financial Officer of 24/7 Customer, Inc. from April 2007 to April 2008 and as the Corporate Controller from April 2005 to March 2007. From December 2002 to March 2005, Mr. Pebworth was a Senior Finance Manager at Intel Corporation serving in the Technology Manufacturing Group overseeing Microprocessor, Chipset and Flash costing and inventory. Prior to leaving Intel in April 2005, and while still serving in his capacity in the Technology Manufacturing Group, Mr. Pebworth was promoted to a Controller position.]]></description>

<description><![CDATA[I wonder how damaged the SGI brand name is.

It has gone bankrupt twice, and no potential customer would have missed the events.   SGI's customers aren't like consumers that go out and buy a Zenith television to replace the one they bought a few decades ago, expect it's the same company.

SGI sold off or licensed all of its IP that would bring money years ago.   There might be an odd patent here and there, but there can't be much. I've heard a claim that Cray-nee-Tera has long wanted the right to build a T3F, something they were contractually prohibited from doing.   I don't think that's still true because that would have been "monetized" if Cray were willing to pay anything for it.]]></description>

4. Sure, SGI has IP.   But much of it has already been given away (Intel, Nvidia, and Microsoft have incorporated into mainstream products) and it is prohibitively expensive to develop (e.g. NUMA).
5. See #2 and #3.
6. Dramatically growing headcount is a big mistake in this market.   SGI has ongoing maintenance revenue, but this is trending down over the long term.   SGI brings RACK no fundamental improvement in technology which will cause sales to grow.   SGI itself has been stuck.]]></description>

<description><![CDATA[I understand how you feel. I had the same reaction when I first heard the news. I think dinosaur tech companies fail because they don't adapt with the changing marketplace. However, after further research, I think they have several bonafide reasons for acquiring SGIC.

1) They want to revive the brand name "SGI". Just like the current AT&T is not really the original AT&T, they can still claim the very recognizable brand name.
2) They want to have access to a broader customer base. Currently most of their revenues are from a handful of US customers (like Amazon and Microsoft). Now they will try to sell RACK products to existing SGI customers. We might also see new special digital video and 3-D rendering products in the future.
3) They want an international presence and SGI gives them this overnight.
4) They want the SGI intellectual property (this value may be overstated, but some think that this alone is worth the purchase price)
5) They want to expand the product offering from just hardware to software and services
6) They want to GROW. For better or for worse, they will dramatically increase their headcount. I definitely agree with you that the cuts should be more severe, but maybe they just want to digest the acquisition first and more cuts will come in the future.

I'm certainly not an expert analyst, but that's my optimistic view. I actually became interested in RACK when I noticed they were trading below book value and cash on hand. I thought that made them a takeover candidate. I was surprised when they became the acquirer!]]></description>

Only cutting 10% of staff?   Give me a break.   You can't acquire a company in perpetual death spiral, only cut 10%, and expect things to level off.   You should be able to get more than 10% in pure administrative synergies, given the bloat at SGI.   If RACK doesn't realize they have to cut SGI's bloated R&D and SG&A at least an additional 20-30% ASAP, they're truly nuts.

Why are people obsessed with buying poorly performing supercomputer companies?   What is with this hubris?

This is all like some very poorly written stage tragedy - more like a really bad TV reality show.]]></description>

<description><![CDATA[1. Yes SGI was going BK. However, snapping them up at a fire sale price was a masterful stroke of business genius for a company as small as RACK. This one move immediately increases their customer base and greatly expands their exposure to the international market.

2. Everyone knows margins are tight in this space. Rack's competitive advantage is innovation. High equipment concentration combined with low energy consumption is the future and they are all over it.

3. "seasonally summer is weakest." I'm not even sure this deserves a reply. An investor like me is looking to double or triple over a longer term (not make 15% in 6 hours, 6 days or even 6 months). I understand that I am speculating on a "weak" company but I have a longer investment horizon.

I'm a value investor and this has the makings of a nice value play. While you have been looking at charts and red ink, I have been studying the company, its products, its history, its vision, and its competitors. That's why I can actually use English in my arguments instead of @%4# *&&^ special characters.]]></description>

<description><![CDATA[You just blasted an overly optimistic long for saying the stock is going to go to 8 or 10 (with no explanation why). Now, you are saying this company is going bankrupt with no explanation why. If you are going to be a good basher, you need to try harder than that.

I'm willing to listen to evidence, but it is hard for me to understand how a company that is selling for less than book value AND less than cash on hand is anywhere near BK by "autumn". Hey, but I've been wrong before...]]></description>
