The annual meeting of shareholders NOVEMBER 19, 2009

The Annual Meeting of shareholders of Point.360 (the “Company”) will be held at 1801 Century Park East, 16th Floor, Los Angeles, CA 90067, on November 19, 2009 at 10:00 a.m., local time, to consider and vote upon the following matters:

1. The election of directors.

2. To transact such other business as may properly come before the meeting or any adjournment thereof.
3. To allow the board of directors after the shareholder meeting, in private, vote on the FRONT PORCH DIGITAL ACQUISITION proposal.
4. To advise the board of Directors in private of the Reverse split($.50>>>$2.50) that is coming from the major dilution of the stock from the Front Porch Digital 30M+ Acquisition.
