The fact is that "PTSX" could buy FRONT PORCH DIGITAL(FPD) for 30 million shares of it's stock("PTSX" shares @$1.30) plus $11.0 million dollars cash or a $50.0 million dollar acquisition and then "DGIT" would buy the consolidated "PTSX" for $160.0 million in STOCK LATER this year or next. This would make zero and I mean absolutly ZERO business sense for "DGIT" shareholders because they can buy both companies right NOW for about $80.0 million in stock @$17.00.

The fact is though it's not what's best for the company and it's shareholders that's important, but rather WHAT'S BEST FOR THE COMPANIES CEO AND PATRIARCH SCOTT GINSBURG PERSONALLY. Since Scott bought and owns a large chunk of "FPD" personally which he bought with friends for $38.0 million(http://denver.bizjournals.com/denver/sto... he would get 30.0 million shares of "PTSX" stock now that would be worth $39.0 million("PTSX" @ $1.30) and $11.0 million in cash to help pay off some of the loans he got to buy the large chunk of "FPD" stock with in the first place.

This position which will be worth $120.0 million DOLLARS when HIS COMPANY "DGIT" buys it later giving him MORE CONTROL and much, much more personal FINANCIAL GAIN. This action is being taken because were in the "GREED IS GOOD" era again and the "HOW DO I GET MINE AT ALL COST" current market management state-of-mind.
