It looks to me that the vote on eliminating the poison pill will happen. It is a non-binding vote. If shareholders approve the elimination and the board refuses it will hurt the board's standing.

For other large shareholders to get representation on the board, the staggered board will have to be eliminated, which I presume is why Peerless included that as one of the proposals too.

I haven't seen a record date for the meeting or a specific meeting date announced.
