As the founder of Pinnacle and a shareholder I have become increasingly disturbed by a number of events at the Company. I clearly see that the current Board is either incapable or unwilling to fulfill its obligations to the Company’s shareholders.

The economy is slowing, Pinnacle is lying off staff, sales are down, and no profits. As the company sales and profits decrease the Board increased the compensation of the Company’s President/CEO, CTO, CFO, and V. P.s with nice cushy employment agreements and poison pills that would cost us the shareholders (owners of the company) thousands if someone was willing to buy the company and allow shareholder some return on their investment. The Board of Directors own very little stock and are unwilling to purchase any even at historically low prices. Management and the Board need incentive to grow our shareholders value?  Did the Board even consider aligning management’s interests more closely with those of the shareholders?  This could be done by increasing the equity component of management’s total compensation thereby reducing the cash burden on the Company and providing management with added incentive to grow shareholder value. Management should see a big upside with a share price under $0.50 a share.

If the Board of Directors and Management want to run the company like a private company please offer the share holders a fair value for their investment and take the company private.
