It means they sold a security, a bond, for 300 million. They will use a "substantial portion" of the money to pay a special dividend this year. It has nothing to do with the number of shares. The concept of owning this stock is they will pay more than $8 in dividends before the patents run out. If the dividend is $2 then they will have payed out $3 this year. Maybe $3 next year too etc.
