Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. 
On March 4, 2009, Pharmos Corporation received a Nasdaq Staff Determination that the company is not in compliance with the minimum $2,500,000 stockholders' equity requirement for continued listing set forth in Nasdaq Marketplace Rule 4310(c)(3). Unless the company appeals the determination, its securities will be removed from listing and registration on The Nasdaq Stock Market. Pharmos does not intend to appeal the determination. The company anticipates that its shares will be listed for quotation on the Over-the Counter Bulletin Board (OTCBB) or another market and has begun the OTCBB listing process. The company will notify investors of its new stock symbol as soon as it becomes available. 

On November 11, 2008, Nasdaq notified Pharmos that it did not comply with the minimum $2,500,000 stockholders' equity requirement for continued listing. Based on Nasdaq's review of materials submitted by Pharmos on November 24, 2008, Nasdaq granted the company's request for an exception until February 24, 2009 to comply with the requirement. Upon further review, Nasdaq determined that Pharmos did not meet the terms of the exception in that its stockholders' equity balance was not compliant by February 24, 2009. As a result, trading of Pharmos common stock will be suspended at the opening of business on March 13, 2009, and a Form 25-NSE will be filed with the Securities and Exchange Commission (the "SEC"), which will remove the company's securities from listing and registration on The Nasdaq Stock Market.]]></description>

When PARS is delisted, Yahoo will discontinue the old PARS page and the new one (PARS.OB) will no longer have access to a message board.

HOWEVER! The board itself is never actually deleted.   If you want to continue to access the old board and post messages, you'd better bookmark this board NOW.   Because after Yahoo eliminates access through the web page, a bookmark is one of the few ways you can access this message board.]]></description>

Entry into a Material Definitive Agreement, Financial Statements and Exhibits

Item 1.01 Entry into a Material Definitive Agreement. 
On February 11, 2009, Pharmos Corporation and its Israeli subsidiary, Pharmos Ltd., entered into an Asset Purchase Agreement with Reperio Pharmaceuticals Ltd. for the sale of the patent rights and technical know-how related to the compound known as PRS-639,058 and certain follow-on molecules. Pharmos had developed these compounds in preclinical testing for neuropathic pain. It is anticipated that the transaction will close on or before June 6, 2009. As a condition to closing, Reperio must obtain the consent of the Office of the Chief Scientist of the Israeli Ministry of Industry, Trade and Labor to Reperio's assumption of all liabilities and obligations under grant payments that were made to Pharmos in connection with the development of the compounds. At closing, Pharmos will receive $200,000 and ordinary shares of Reperio representing a ten percent pre-money equity ownership, and thereafter will be entitled to certain license and royalty fees in connection with the ongoing development of the compounds. A related press release is attached as Exhibit 99.1 hereto.

The Company is focusing all its resources on its Dextofisopam clinical trial for Irritable Bowel Syndrome (IBS) currently enrolling in a 480 patient Phase 2b trial.]]></description>

On January 15, 2009, Pharmos Corporation received written waivers from certain holders of its 10% Convertible Debentures Due November 1, 2012 - New Enterprise Associates 10, Limited Partnership (affiliated with Charles W. Newhall, III, a Director of Pharmos), Robert F. Johnston (Executive Chairman of Pharmos) and Venrock Associates, Venrock Associates III, L.P., and Venrock Entrepreneurs Fund III, L.P. (all of which are affiliated with Anthony B. Evnin, a Director of Pharmos) - that permitted the payment of interest to such holders, with respect to the interest due on the January 15, 2009 interest payment date, in the form of shares of common stock notwithstanding the absence of a registration statement. The interest conversion rate is defined in the debenture as the greater of (i) the average of the five closing prices immediately prior to the applicable interest payment date (which was $0.128), (ii) the closing price on the date of the second closing (which has not occurred to date), and (iii) the closing price on the date of the first closing (which was $0.34). The dollar amount of interest to be paid in stock amounted to an aggregate of $150,000 which, converted at $0.34 per share, resulted in an aggregate of 441,177 shares issued to the debenture holders who agreed to receive interest in the form of common stock.]]></description>

<description><![CDATA[I see there is a new news article out (see link below) on PARS and its CB2 agonist Cannabinor.   The author of the article should have done a little more background check.   PARS discontinued Cannabinor development some time ago.

Several years ago I read the original patent work on Cannabinor and it was truly amazing stuff in rodent models.   It absolutely turned off pain, and did not develop either tolerance or dependency.   It was like a 100 times superior to morphine.   Unfortunately, as soon as they got it into a P1 trial with humans it was a complete bust.   Not only did it not inhibit pain at all, it actually increased pain response in some of the patients.   They dropped it like a hot potato.   PARS most recent SEC report indicates that they hold out hope to license something in their CB2 library to a pharma willing to develop something.   Wouldn't hold my breath on that one.

Third quarter report:

"The Company is currently behind its originally planned enrollment and now expects top line data to be available in the second half of 2009."

What this means in Pharmospeak is that it'll be 2010 before the trial is completed, if they ever get that far.   Pharmos will report in the second half of 2009 that the trial will be completed "sometime in late 2009 or early 2010," and then in 4Q09 they will report that the trial will be completed sometime in early 2010.   It's a formula they've been following for the last decade and never fails to hook naive investors like thecaker00.   If you doubt it, hang around and see.   When originally announced, the P2b was supposed to be completed in late 2007.]]></description>

<description><![CDATA[I can believe you did your own DD on PARS.   They don't have a Phase III trial on the books.   You are obviously the type of "investor" who doesn't know the difference between 6 cents, and .06 cents.

PARS has already announced that, following normal PARS operating procedure, their sole remaining clinical trial (Phase IIb with dextofisopam) has been delayed by about a year.

Assuming a miracle happens and PARS actually completes its P2b with dextofisopam sometime in 2010, it will then begin planning a P3 trial.   Following FDA approval of the P3 trial design, PARS would then submit an IND for the P3 trial sometime in 2011.   You can then look forward to about four years of futzing around by PARS while they dilute your long position by a factor of four or five to obtain capital for performing the P3 trial.

Now look at those two stocks.

After hearing all the naysayers ragging on ANSV and NVD and hearing eacg and everyone of them say it was dropping to a penny I now have lost faith in any and everyone.

I did my own DD on PARS, like I did when I bought 20,000 shares of ANSV at .07 cents and 50,000 shares of NVD at .06 cents.

So thanks for all your concern, but I am happy I own all these shares in PARS and will be adding another 250,000 shares very shortly.

For your information, in investing nomenclature, you were long ANSV from $0.07 until $1.21.   That is, you owned ANSV shares during that inverval.   Owning shares = being long.   Being long is the opposite from being short, which means selling shares before buying them.   I.e. being "short" shares.

PARS has had nice looking drugs in Phase II for over ten years.   The have never successfully brought a drug into commercialization.   They had a successful opthalmic drug which was purchased technology, and they outsourced its development to Bausch & Lomb.   When BOL completed the FDA approval process, PARS sold it completely to them for perhaps a quarter of its value.

PARS corporation has been a "development biotech" for over fifteen years.   That is, they have perpetuated getting venture capital and developing something, but never completing it.   It is similar to being a professional student where an individual continues to attend school with no intent of ever producing something of value. The only winners in PARS were its executive management who milked it for all it was worth and have left a shell of a company.   PARS has laid off all its worker bees and only keeps on a skeleton staff of a couple of rear guard executives and a receptionist or two.   They are essentially a non-functioning company at present; just waiting to close the doors.

PARS is running out of cash, will likely find it difficult to obtain financing in the future due to its equivocal management, and will likely be delisted from NASDAQ as soon as the NAZ lifts its temporary restraint on kicking out failed companies due to the lousy economy.   The NAZ's temporary delisting ban is the sole thing that is holding this company up.   When PARS finally gets delisted, PARS pps will drop to probably a quarter of its current value within a short inverval.

You don't have a clue as to what you have invested in.   But by all means, stay long PARS and find out.]]></description>
