Mr. Michael P. Entis, P.O. Box 1471, Stowe, Vermont 05672, claiming ownership of Neogen Corporation common stock with a value in excess $2,000 for longer than one year, has submitted the following resolution and supporting statement to be included in this proxy statement and has noted his intention to present such resolution for consideration at the annual meeting. Michael has been a frequent critic of Neog here, posting as jacobyoui and l8_4_dnr.

Michael obtained his neog holdings through his wife back in the acquisition of QA Life Sciences back in 2001. She received 58,000 shares back then. Michael has been trying to get his wife to sell the shares ever since but she won't let him. She is apparently very smart. Heaven knows what you Michael would do with the money anyway -- give it to ACORN? So he retaliates by blasting the company in hopes that it will be damaged enough that she will give in and sell. I think it could be said that he is exhibiting passive aggressive behavior.

If you remember back some time ago Michael was complaining about Neog's inventory. He didn't accept an explanation from the Neog management. So what did he do? He called up Neog's auditors, and of course they were forced into spending money, your money, and much of neog management's time, to answer the misguided Michael.

Michael needs psychological help!
