On vacation with a bad internet connection so not spending much time looking at the deal.

At first glance it seems like a good and fair price in terms of the asset sale. I would say it was more like 1.25-1.5 x sales based on more recent quarters results. Their business really had fallen apart. They "hid" it for awhile with the e-Vergence acquisition. eGain could re-acquire their NASDAQ listing if they wanted to by making a similar acquisition and do a reverse split. Probably would be a bad idea and I'd trust eGain's Board to make the right decision.

If I were a Kana shareholder though I would be really worried about their plans to acquire a profitable business. What sort of salaries and severance is being paid to Fields, his attorney daughter and others? Why would anyone trust them to not muck up an acquisition? What will administrative costs be? Maybe it is a good idea but I sure wouldn't trust their management.

Maybe Accel will manage the company better. Suppose this could be bad for eGain but I'm not selling.
