Vote NO on this unfair offer by insiders to takeover.

Insiders are wanting to buy FEP, a $20 million company, using mostly company cash during this downturn.

Insiders indicate they are investing $2.4 million in equity and the rest in company cash for this $20 million company. Insiders are also not cashing out maybe $7.0 million in FEP stock.

Still, the cash is mostly available in cash ($11.2 mil in sept 09) and some other short-term assets.

FEP has good market share and recently came out with good high margin products, reduced expenses and posted paper only write-offs to make the financials look worse than the really are in Q4. There is usually $3 to $5 million in positive cash flow in any year.
