"As of August 6, 2009, there were outstanding stock options and warrants to purchase approximately 23.1 million shares of our common stock at a weighted-average exercise price of $1.52 per share, including warrants to purchase 4.7 million shares at an exercise price of $1.70 per share that were sold as part of our registered direct public offering on July 27, 2009. Our outstanding options and warrants could adversely affect our ability to obtain future financing or engage in certain mergers or other transactions, since the holders of options and warrants can be expected to exercise them at a time when we may be able to obtain additional capital through a new offering of securities on terms more favorable to us than the terms of outstanding options and warrants. For the life of the options and warrants, the holders have the opportunity to profit from a rise in the market price of our common stock without assuming the risk of ownership. The issuance of shares upon the exercise of outstanding options and warrants will also dilute the ownership interests of our existing stockholders....."
