American Capital Agency Corp. (AGNC), a US-based real estate investment trust, has completed a public offering of 5 million shares of its common stock at a price of $26.6 per share for total gross proceeds of $133 million.

Announcement (October 26, 2009):

AGNC has priced a public offering of 5 million shares of its common stock at a price of $26.6 per share.

The company has granted the underwriters an option to purchase up to an additional 0.75 million shares to cover overallotments, if any.

The offering is expected to close on October 30, 2009.

Earlier today, AGNC has commenced a public offering of 4 million shares of its common stock. The company has granted the underwriters an option to purchase up to an additional 0.6 million shares to cover overallotments.

Citigroup Global Markets, Inc., UBS Securities, LLC are acting as joint book-running managers, while Credit Suisse Securities (USA), LLC and JMP Securities LLC are acting as joint lead managers. Keefe, Bruyette & Woods, Inc., Deutsche Bank Securities, Inc. and RBC Capital Markets Corporation are acting as co-managers for the offering. Skadden, Arps, Slate, Meagher & Flom LLP is acting as legal advisor to AGNC.
