Here are some questions that we need to be asking as shareholders?

1. Does the Kaplan family have the right to sell the toy company to the employees without disclosing it to the shareholders?

2. Does the Kaplan family have Control of the company? If so are they entitled to make a sale of the toy assets to the employees?

3. What paper trail represents this transaction and why have we not seen any disclosure?

4. Are the shareholders entitled to such disclosure ?

5. Who is Ronel management? Why were payments being made to Ronel over the years from Action Products? What services did Ronel provide ?

6. What happened to the almost 3 million dollars that was won via a lawsuit in 2008 ?

7. Why were Warren and Judy Kaplan receiving monies from the company while they weren't employed ? Retirement income? Why?

8. Why was Ron Kaplan getting salary increases year over year when the business was not growing ? Why did the company and the BOD let him stay in control when they knew he wasn't growing the business?

9. What special expenses like car,insurance,travel etc was picked up on the company dime so to speak for the Kaplan family ? Is it still happening ?

10. Is this truly a public company ?

11. Why did the BOD elect to extend the 2 dollar warrants until 2010 knowing that the only people not to exercise them was the family itself ? (looks like a special favor to me)

12. Is Ron Kaplan getting paid now by the company? Why was he suing the company in Orange county court ?

13. What is Warren Kaplan getting paid by the company now ?

14. If there was a transaction between BSW and APII(which I believe there was by virtue of the missing employee pictures on facebook) Should it be considered null and void since it might have been done without shareholder approval ?

15. Why hasn't the BOD done anything ?

16. Is restitution owed to the shareholders because of all of this ?
