<description><![CDATA[In addition, on September 11, 2009, the Company commenced mailing a proxy statement to shareholders seeking advisory shareholder approval, at a special meeting of shareholders to be held on October 6, 2009, of the previously announced sale of 1,250,000 shares of Series C Preferred Stock to Oak Investment Partners XI, Limited Partnership ("Oak") for a purchase price of $10 million in cash. At the special shareholders' meeting, shareholder approval is also being sought for an amendment to the terms of the Company's Series B Preferred Stock held by Oak to provide common shareholders the right to share in 10% of any recovery by the Series B Preferred Shareholders in any liquidation and certain sales of the Company which would be deemed to be a liquidation under the terms of the Series B Preferred Stock. The Record Date for shareholders to vote at the special meeting is September 3, 2009.

Eric Stonestrom, Airspan's Chief Executive Officer, said, "We urge all shareholders to read the proxy statement carefully and to vote their shares on this important issue, which is critical to Airspan's future. With this new funding, we believe that Airspan will be well positioned to weather the current economic downturn and to benefit from some of the current initiatives in our industry.  BOCA RATON, FL--(Marketwire - 09/18/09) - Airspan Networks Inc. (Pinksheets:AIRO - News) previously (Pinksheets:AIRN - News) announced that its 1-for-15 reverse stock split became effective today. The Company's common stock is now trading on a split-adjusted basis under the trading symbol "AIRO" and under the new CUSIP number 00950H201. The previous trading symbol was AIRN.

As a result of the reverse stock split, the Company's shareholders will receive one share of the Company's common stock in exchange for every fifteen shares they held immediately prior to the effective time of the reverse stock split. Airspan will not issue any fractional shares of its common stock as a result of the reverse stock split. Instead, it will pay an amount equal to $.08 per whole pre-reverse stock split share in cash to registered holders of fractional shares.

Following the reverse stock split, Airspan will continue to have 100 million authorized shares of common stock. At September 3, 2009, the Company had 59,827,932 outstanding shares of common stock or 3,998,529 shares after giving effect to the reverse stock split.

Airspan has retained its transfer agent, American Stock Transfer & Trust Company, LLC ("AST"), to act as exchange agent for the reverse stock split. AST will manage the exchange of pre-reverse stock split shares for post-reverse stock split shares. As soon as practicable, AST will provide shareholders of record as of the effective time of the reverse stock split with a letter of transmittal providing instructions for the exchange of their certificates representing pre-reverse stock split shares of common stock for new certificates of post-reverse stock split shares of common stock. Total applications for Wimax related projects are well over $2B.

One might say that in a first phase, about 20% will actually be granted (about $18B in total requests, about $4B to be given out in the first round).

That's about $400M for Wimax related projects (in the first phase).

Of course, all operators involved will throw in some of their own money or already have gotten some financing elsewhere. So, I'd say that this stimulus money program might give a $1B+ injection into US Wimax.

Finally, one has to realize that only 20 to 30% of these projects goes to actual hardware (base stations and CPE's).

So, we are talking at least 200, 300 million up for grabs for Wimax suppliers (in the first round).

Question is how much of this will go to the larger players like MOT and Samsung...

<description><![CDATA[I'm going to vote no for everything.   It probably won't matter, but who cares at this point.   I think the only group that has got the raw deal in the history of the company are the common share investors, whom in which this company was created for.   But every time I look, I see an employee compensation package or how Oak bought another piece of the company on the cheap, because managment burned up a bunch of cash.
Though, if you vote no, you may want to sell your shares just in case it fails and Oak doesn't increase their offer.
The company should have got the same deal from Oak with a 20% carve-out for common and $15M in cash that was adjusted by average PPS for the year, not .08.
Again, Oak is taking advantage of a situation in which they helped create and considering the potential business coming for Airspan, this is NOT a fair offer to common investors.   Oak helped creat the situation and then did what everyone else did, made an offer based on the net value of the company.]]></description>

<description><![CDATA[There's a chance, it's just not great.   If I didn't already hold a position in this company I would not be buying in yet.   Personally, I would wait until after the split and see what happens to the stock price and company over the next few weeks.

It all depends on your level of greed or the amount of risk you're willing take.   If either is extremely high, buy now so you can cast your vote.   If not, and if the company does come healthily out of this, then there will still be plenty of upside to take advantage of.   If not and they tank--like most of us truly expect--then you've lost nothing other than a few minutes every day to check in and see what's happening.

Oh, wait, since I am shareholder, I should be telling you to buy in so that our share prices will rise, right?

Now that is really funny that some folks think they will get some of thier money back from Erics, managements, the board and OAK's pockets.

<description><![CDATA[Obviously THAT offer was NOT true to the real value of AIRN. Which OAK has confirmed via their 10M$ add-in. 

The Obit. of this company is NOT ready to be written. It has many opportunities and challenges. I.E. Hipermax WIMAX to LTE base conversion. Nifty, timely and easily adaptable to changing market needs. IMO.

On its face, a 24M$ says, we have NO idea what AIRN's IP is, we won't continue the company's product line, thus making NOLs worth nothing, we see little reason to sell 40M$ worth of AIRN gear a year and we don't think AIRN has a chance of getting more than 10M$ total in RuBro engagements...thus the company making the offer was likely "dimmer" than the company they hoped to "steal". 

Weeks ago AIRN sells a sliver of IP for 15M$. Huh? WTF? JeeZ? And MiMax is worth how much? The full D line is worth how much? The new LTE convertable basestations are worth what? Totally amazing...they didn't think OAK was awake? Or had a vested interest in at least 70M$ return for their 33% chunck of the company?? 

Look, before you can eat like a vulture, you have had to had been able to fly like a vulture.
